By accessing or using the Plexrio platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the Service, including individuals and organizations. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Plexrio provides an AI-powered marketing operating system including budget intelligence, GEO visibility monitoring, creative generation, attribution tracking, and campaign automation tools ("Service"). We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

To use the Service, you must create an account. You agree to: — Provide accurate, current, and complete information during registration — Maintain the security of your password and account credentials — Notify us immediately of any unauthorized use of your account — Accept responsibility for all activities that occur under your account You may not share your account credentials or allow others to access your account. Each user must have their own account.

Plexrio offers paid subscription plans. By subscribing, you agree to pay the applicable fees as described on our pricing page. Billing: subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms. Free trial: we offer a 14-day free trial with full access to the Service. No credit card is required to start a trial. If you do not cancel before the trial ends and have provided payment details, you will be charged for the applicable plan. Cancellation: you may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. Price changes: we reserve the right to change our prices. We will give you at least 30 days notice of any price increase. Your continued use of the Service after the effective date constitutes acceptance of the new price. Taxes: prices do not include applicable taxes. You are responsible for all taxes associated with your purchase.

By submitting content to the Service, you grant Plexrio a non-exclusive, worldwide, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing the Service to you. You represent and warrant that You have all necessary rights to submit Your Content and that Your Content does not violate any applicable law or third-party rights. We may aggregate and anonymize data derived from Your Content for product improvement and benchmarking purposes, provided that such aggregated data cannot be used to identify you or your organization.

The Service and all associated technology, software, algorithms, designs, and content are owned by Plexrio and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. This license does not include the right to: — Copy, modify, or distribute the Service or any part of it — Reverse engineer or attempt to extract the source code — Create derivative works based on the Service — Remove or obscure any proprietary notices Plexrio trademarks, logos, and service marks may not be used without our prior written consent.

The Service integrates with third-party platforms including Meta, Google, LinkedIn, and others ("Third-Party Services"). Your use of Third-Party Services is subject to their respective terms of service and privacy policies. Plexrio is not responsible for the availability, accuracy, or reliability of Third-Party Services. We do not endorse any Third-Party Service and are not liable for any damages resulting from your use of them. When you connect a Third-Party Service to Plexrio, you authorize us to access and use data from that service solely to provide the Service to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PLEXRIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED CONTENT, RECOMMENDATIONS, AND SCORES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. PLEXRIO DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE OF ANY AI-GENERATED OUTPUT. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS MADE BASED ON SUCH OUTPUT. PLEXRIO DOES NOT WARRANT THAT THE SERVICE WILL ACHIEVE ANY PARTICULAR MARKETING RESULTS OR ROAS TARGETS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLEXRIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. IN NO EVENT SHALL PLEXRIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO PLEXRIO IN THE TWELVE MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND WHETHER OR NOT PLEXRIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Plexrio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: — Your access to or use of the Service — Your violation of these Terms — Your violation of any third-party rights — Your Content We reserve the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing to use the Service. We may terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, during which time you may request an export. After 30 days, your data will be deleted in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

These Terms are governed by the laws of the jurisdiction in which Plexrio is registered, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules. You waive any right to participate in a class-action lawsuit or class-wide arbitration against Plexrio.

We may update these Terms at any time. We will notify you of material changes by email or by displaying a prominent notice on the platform at least 14 days before the change takes effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service before the effective date.
